AskTheo Trial Access — Terms of Use

1. Access and Scope
These terms govern your access to the AskTheo trial environment (“Trial”) made available by HarrisX LLC (“HarrisX”). By accessing the Trial, you agree to be bound by these terms. HarrisX may revoke Trial access at any time without notice.
2. Eligibility and Authority
By accessing the Trial, you represent that you are at least 18 years of age. If you are accessing the Trial on behalf of an organization, you represent that you have authority to bind that organization to these terms, and all references to “you” include that organization. HarrisX is not responsible for unauthorized use of the Trial by individuals who lack authority to bind their organization.
3. No Warranty; As-Is
The Trial is provided “as-is” and “as available” without warranty of any kind, express, implied, statutory, or otherwise. HarrisX specifically disclaims all implied warranties, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. Trial outputs are illustrative only and do not constitute research findings, professional advice, or guaranteed results.
4. No Commercial Reliance
You may not use Trial outputs as the basis for material business, financial, legal, or policy decisions. Trial access does not constitute a commercial license to AskTheo or any HarrisX product or service.
5. No SLA or Uptime Commitment
HarrisX does not guarantee Trial availability, performance, or continuity. The Trial may be modified, suspended, or discontinued at any time. HarrisX shall not be liable for any failure or delay in Trial availability caused by events beyond its reasonable control, including without limitation acts of God, war, terrorism, pandemic, government action, or third-party infrastructure failures.
6. Data and Privacy
Any data or inputs you submit during the Trial are subject to HarrisX’s Privacy Policy, available at asktheo.harrisx.com/legal/privacy. You shall not submit confidential, proprietary, or personally identifiable information through the Trial. HarrisX bears no liability for personally identifiable information submitted in violation of this section and shall have no obligation of confidentiality with respect to Trial inputs unless a separate written agreement is in place.
7. Prohibited Use
Prohibited uses of the Trial include, without limitation: (a) attempting to reverse-engineer or extract proprietary algorithms or models; (b) conducting automated scraping or bulk queries; (c) submitting data belonging to a third party without that third party’s authorization; or (d) violating any applicable law or regulation.
8. Intellectual Property
All rights in AskTheo, including its underlying technology, models, and outputs, remain the exclusive property of HarrisX. No license or ownership interest is granted by Trial access. Any feedback, suggestions, or ideas you provide regarding the Trial (“Feedback”) become the sole property of HarrisX. HarrisX may use Feedback without notice, restriction, or remuneration of any kind.
9. Indemnification
You agree to indemnify, defend, and hold harmless HarrisX and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Trial; (b) your violation of these terms; or (c) any data or content you submit through the Trial; except to the extent that such claims are directly caused by HarrisX’s gross negligence or willful misconduct.
10. Limitation of Liability
To the maximum extent permitted by law, HarrisX shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Trial, even if HarrisX has been advised of the possibility of such damages. HarrisX’s total liability to you for any claim arising under these terms shall not exceed one hundred dollars ($100), solely with respect to Trial access. This cap does not apply to, and shall not be construed to limit, any subsequent commercial agreement between the parties.
11. Amendments
HarrisX reserves the right to modify these terms at any time. Updated terms will be posted with a revised effective date, and continued use of the Trial thereafter constitutes acceptance.
12. Severability and Survival
If any provision of these terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Any waiver by either party of a breach of these terms shall not constitute a waiver of any subsequent breach. Provisions that by their nature should survive termination of Trial access, including without limitation Sections 7, 8, 9, 10, and 13, shall so survive.
13. Entire Agreement
These terms constitute the entire agreement between you and HarrisX with respect to the Trial and supersede all prior or contemporaneous communications regarding the same subject matter.
14. Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under these terms shall be resolved exclusively in the state or federal courts sitting in the State of New York, and you consent to personal jurisdiction in those courts.
Acceptance
By creating an account or accessing the Trial, you confirm that you have read, understood, and agree to be bound by these Terms of Use, and that you have the authority to do so.
